CONSTITUTION
As Adopted September 28, 1967;
Revised November 21, 1968; and Revised October 29, 1969

ARTICLE I NAME

Section 1. This association shall be known as the "Illinois Association of Park Districts", and its principal place of business shall be in the City of Springfield, County of Sangamon, State of Illinois.

Section 2. The registered office of the association required to be located within the State of Illionis may be, but need not be, identical with the principal office in the State of Illinois, and the address of the registered office may be changed from time to time by the Board of Directors.

ARTICLE II PURPOSES

Section I. The purpose for which this association is formed are:

(a) To promulgate, foster, promote and carry into effect a continuing educational program for the improvement and extension of park, recreation and conservation programs and facilities and the efficient municipal administration thereof; to acquire, sell, and exchange personal property and real estate, to hold title thereto, and to control, manage and operate the same; but no part of the net earnings of the association shall inure to the benefit of any member or individual.

(b) For the purpose of accomplishment of the foregoing purposes the association shall, among other things:

(1) Research and study park, recreation and conservation problems.

(2) Inform its members of the results of its research and studies, counsel and advise park boards and other administrative bodies with respect to sound park, recreation and conservation policies and practices and encourage their adoption.

(3) Furnish the General Assembly with information pertaining to park, recreation and conservation legislation.

(4) Co-operate with public officers, administrators, educators, and with interested organizations in promoting the improvement and extension of park and recreational programs and facilities within the State of Illinois.

ARTICLE III MEMBERSHIP AND DUES

Section 1. Membership shall be available to any park district, forest preserve district, conservation district, park and/ or recreation department or division of a city, village or incorporated town; any department division or agency of the State of Illinois; or any county, township or subdivision of the State.

Section 2. Any park district or other subdivision of the State may become a member of this association upon written application to the Executive Vice President accompanied by a resolution approved by the corporate body of the district or municipality authorizing membership and payment of the first annual dues. The By-Laws shall set forth a schedule of dues and shall be based upon the full, fair cash value of the park district or taxing body as assessed and equalized for taxing purposes. The applicable assessed valuation shall be determined upon the basis of the last known valuation prior to the date dues shall become payable.

Section 3. Membership dues shall be due and payable in advance, on or before January 1 of each year. Districts joining during the fiscal year of the association shall pay a pro-rata share of the annual dues beginning with the first of the month following the date of their application.

ARTICLE IV OFFICERS AND COMMITTEES

Section I. The Officers of this Association shall be a President, a President-Elect, three (3) Vice-Presidents, an Executive Vice-President, a Treasurer, nine (9) Directors, a Legal and Legislative Counsel, and a Sergeant at Arms.

The President, President-Elect, Vice-Presidents and Treasurer shall hold office for one year or until their successors shall have been duly elected and qualified. The President and President-Elect shall not be eligible for a second successive term. A Vice President shall not be eligible for a fourth (4th) succesive term. The Directors shall not be eligible for a third successive term. The Immediate Past-President shall hold office as a Director for one year.

Four (4) Directors shall be elected each year to hold office until the second annual conference after their election or until their successors shall have been duly elected and qualified, except the first year after the adoption of this constitution when four directors shall be elected to serve one year, and four to serve two years.

Section 2. The officers except the Executive Vice-President, the Director who is the Immediate Past-President, Legal and Legislative Counsel, and the Sergeant at Arms shall be elected at the Annual meeting.

Section 3. The officers of this association shall be designated as the Board of Directors, and the Executive Vice-President shall serve as Secretary of the Board.

Section 4. The Executive Vice-President shall be appointed by the Board of Directors for such period of time, not to exceed five (5) years, as the Board shall determine or until a successor shall have been duly appointed and qualified.

Section 5. The Legal and Legislative Counsel shall be appointed by the Board of Directors and shall hold office until the next annual meeting or until a successor shall have been duly appointed and qualified.

Section 6. The Sergeant at Arms shall be appointed by the President and shall hold office until the next annual meeting or until a successor shall have been duly appointed and qualified.

Section 7. No person shall be eligible to hold an elective office in the association unless that individual is a member of a park board which is a member of the association in good standing at the time of his election. If an elected officer of this association shall cease to be a member of the governing board of his park district, his term of office in the association shall not terminate until the next annual election.

Section 8. Vacancies in the offices of the Association created by death, resignation, or removal from the State of Illinois, shall be filled by the remaining members of the Board of Directors which shall make appointments to fill the unexpired term of the officers of the Association. This section shall not apply to the office of the Director who is the immediate Past-President.

Section 9. Regular meetings of the Board of Directors shall be held semi-annually or more often as the Board may determine. Special meetings may be called by the President or by the Secretary upon petition of five (5) members of the Board.

Section 10. All questions decided by the Board of Directors shall be decided by the majority vote of the Board and eight (8) members shall constitute a quorum.

Section 11. The President may appoint such committees he deems necessary for the operation of the association.

Section 12. No officer or committee of the association shall be authorized to create any financial liability for the association unless it shall be approved both in nature and amount under the rules established by the Board.

ARTICLE V ELECTIONS

Section 1. All elective officers shall be elected at the annual business meeting of the Annual Conference.

Section 2. Nominations for elective officers and directors shall be made by a nominating committee of five (5) commissioners of member park districts appointed by the President not less than three (3) weeks prior to the opening meeting of the Annual Conference. The President shall designate a chairman of the nominating committee who shall call a preliminary meeting of the committee prior to the Annual Conference. The committee shall present its nominations at the annual business meeting of the Association. Additional nominations may be made from the floor of the annual business meeting.

Section 3. Each park district holding membership in the Association shall be entitled to be represented at all Association meetings and Conferences by a delegate or delegates. Delegates to Association meetings or Conferences may include members of the park board, the Secretary, Superintendent, Attorney, Treasurer or any paid employee. Each delegate shall present proper credentials consisting of a certificate by the Secretary of the park district said delegate or delegates represent, with seal of office affixed, showing that the park board at a special or regular meeting authorized said delegate or delegates to represent said park district. On all questions each park district represented shall have one vote which shall be the majority expression of the delegation from that park district.

Section 4. No park district shall be entitled to vote by proxy and only delegates of a park district shall cast a ballot for that park district.

ARTICLE VI DUTIES OF OFFICERS

Section 1. The duties of the President President-Elect, Vice-President and Treasurer shall be such as are usually performed by officers holding these titles.

Section 2. The duties of the Executive Vice-President shall be such as are usually performed by the executive officer of such association and shall include the administrative responsibility and authority to develop, direct, and carry into execution a program which will achieve the stated objectives of the Association in accordance with the policies developed and approved by the Board of Directors, and such other duties as shall be prescribed by the board. This officer shall be a member ex officio of all committees, and responsible for the employment and supervision of all employees, whether full or part-time in nature. He shall submit to the Board of Directors for its approval a proposed annual budget and shall perform any and all such other services as shall be required by the officers and Board of Directors of the Association.

ARTICLE VII MEETINGS

Section 1. The Annual Conference of this Association shall be held at such time and place in each calendar year as shall be determined by the Board of Directors.

Section 2. The program of the Annual Conference shall be arranged by or under the direction of the Board of Directors.

Section 3. The Proceedings of the Annual Conference, or a summary thereof, shall be published in the official publication of the Association.

Section 4. Seminars and regional meetings in various parts of the state may be held from time to time as shall be approved by the Board of Directors.

ARTICLE VIII BY-LAWS

Section 1. The Board of Directors shall have power to adopt, and from time to time amend, by-laws not inconsistent with this Constitution subject to ratification at the annual meeting of the Association by a majority vote.

ARTICLE IX AMENDMENTS TO CONSTITUTION

Section 1. This Constitution may be amended at the annual business meeting of the Annual Conference by a majority vote of the member park districts present subject to compliance with the following procedure:

(a) Any member park district, or the Board of Directors, desiring to suggest an amendment to the Constitution, shall submit the proposed amendment to the Executive Vice-President in writing not less than 120 days prior to the opening day of the annual conference.

(b) The Executive Vice-President shall thereupon cause a copy of the proposed amendment to be mailed to each member park district of the Association not less than 90 days prior to the opening day of the Annual Conference.

BY-LAWS

The following by-laws have been adopted pursuant to the provision of the above Constitution:

Section 2. The foregoing schedule of dues shall be effective for the Association's fiscal year beginning January 1, 1970, and shall be due and payable in advance in order to insure the effective functioning of this Association.

Section 3. The following schedule of Annual Dues for each member shall replace the schedule hereinabove set forth in Section 1, on January 1, 1971, and shall be effective on said date:

Section 4. Dues shall be paid for the Association's fiscal year, beginning January 1, 1971, and shall be due and payable in advance in order to insure effective functioning of this Association.

II. INFORMATION SERVICE AND OFFICIAL PUBLICATION

Section 1. The Executive Vice-President shall collect and maintain information relative to park district policy and administration for the mutual benefit of the members of this Association.

Section 2. It shall be the duty of each park district member of this Association through its president, secretary or governing board, to furnish to the Executive Vice-President such information as may be requested and copies of all official reports and documents of such park district for filing with the Executive Vice-President for the benefit of the other park districts which are members of this Association.

Section 3. It shall be the privilege of each member of the Association and of any officer or any member, to request any special information relative to park policy or administration from the Executive Vice-President.

Section 4. The official publication of this Association shall be known as ILLINOIS PARKS, which shall be published at least six times a year.

III. RESOLUTIONS

Section 1. Resolutions may be proposed by any member district or by the Resolutions Committee of the Association.

Section 2. Board resolutions must be submitted not later than sixty (60) days prior to the opening day of the Annual Conference in order that the Resolutions Committee may have time to review the resolutions and consult with the presenting board if desired before circulating the resolutions among the Association Membership not less than thirty (30) days in advance of the opening day of the Annual Conference.

Section 3. The Resolutions Committee has the prerogative to determine which resolutions shall be presented at the annual business meeting of the Association; however, all resolutions received must be circulated among the membership. Any board shall have the right to appeal the Committee's decision to tlie delegates at the business meeting.

Notice of appeal and of presentation of additional resolutions must be served by mail on the Resolutions Committee not less than 24 hours in advance of the time established for the first business meeting of the Annual Conference. A majority of the official delegates present at a business meeting, and voting, is required for consideration of appeals and a 75% majority of such delegates is required for the introduction of additional resolutions. Boards seeking authority at a business meeting to present resolutions must provide printed or mimeographed copies for all delegates present at the meeting.

IV. HONORS

Section 1. Honorary Life Memberships in the Association may be awarded to persons who have given outstanding service to the Association. The Board of Directors may recommend no more than four persons each year to receive this honor, subject to ratification at the annual meeting.

Section 2. Honor Citations for Service may be awarded to persons, and organizations, who have made substantial contributions to the Association and/or to the field of parks and recreation in Illinois. These Citations may be awarded, without limitation as to number, by the Board of Directors.

Section 3. Merit Citations for Service may be awarded to persons, and organizations, who have made substantial contributions to the Association, to the field of parks and recreation in Illinois, and/or to an individual member district as defined in Article III of the Constitution of the Association. These Citations may be awarded without limitation as to number by the Board of Directors on its own initiative, or upon the recommendation of a member district. Recommendations by a member district of its own present and past commissioners/trustees and its own present and past employees shall not be limited in number. Each member may recommend no more than one other person and no more than one organization each year for this recognition.
